1. Acceptance of Terms

By accessing or using the ClearMatch ATS website and services (the “Service”), you agree to be bound by these Terms of Service (“Terms”) between you and Tech Simply Solutions LLC (“Company,” “we,” “us,” or “our”), doing business as ClearMatch ATS. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

ClearMatch ATS is an AI-powered applicant tracking system that allows employers to upload job postings and resumes, automatically parse and score applicants against job requirements, and rank candidates. The Service also provides a free resume review tool for individual job seekers.

3. Accounts & Registration

You must create an account to use most features of the Service. You agree to:

Provide accurate and complete registration information
Maintain the security of your account credentials
Notify us immediately of any unauthorized access to your account
Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that violate these Terms or are used for fraudulent purposes.

4. Acceptable Use

You agree not to:

Upload content that is unlawful, defamatory, abusive, fraudulent, or that violates any third-party rights
Upload resumes or personal data without proper authorization or consent from the data subjects
Use the Service to discriminate against applicants on the basis of race, gender, age, religion, disability, or any other protected characteristic
Attempt to reverse-engineer, decompile, or disassemble any part of the Service
Use automated scripts or bots to access the Service in a manner that exceeds reasonable usage
Interfere with or disrupt the integrity or performance of the Service
Resell, sublicense, or redistribute the Service without written consent

5. Employer Responsibilities

If you use ClearMatch ATS as an employer or hiring manager, you acknowledge and agree that:

You are responsible for ensuring you have the legal right to upload and process applicant resumes through the Service
AI-generated scores and rankings are advisory tools only — all final hiring decisions are your sole responsibility
You will comply with all applicable employment laws, anti-discrimination regulations, and data protection requirements in your jurisdiction
You are responsible for the accuracy of job posting content and requirements you provide

You acknowledge that the Service does not provide “hiring recommendations,” but rather provides data-parsing and sorting based on keywords and criteria you provide. You agree to perform independent human review of candidates and to comply with all local laws regarding the use of AI in hiring (such as NYC Local Law 144, the Illinois AI Video Interview Act, and similar regulations, if applicable).

6. Free Resume Review

The free resume review feature allows individuals to upload their resume and compare it against job postings. By using this feature, you agree that:

You are uploading your own resume or have authorization to upload on someone's behalf
AI-generated feedback and scores are for informational purposes and do not guarantee employment outcomes
Your resume will be stored until you choose to delete it or close your account

7. Credits, Payments & Refunds

7.1 Job Posting Credits

ClearMatch ATS uses a credit-based system. Each credit tier (Starter, Essential, Professional) includes a specific number of applicant slots. Credits are consumed when a job posting is created.

7.2 Payments

All payments are processed securely through Stripe. By making a purchase, you agree to the Stripe Checkout User Terms and Stripe's Privacy Policy. Prices are displayed in US Dollars and may be subject to applicable taxes.

7.3 Refunds

Credits that have not been used may be eligible for a refund within 14 days of purchase. Once a credit has been applied to a job posting and resumes have been processed, that credit is non-refundable. To request a refund, contact support@clearmatchats.com.

7.4 Credit Upgrades

You may upgrade a job posting credit to a higher tier at any time by paying the difference between the original tier and the new tier. Downgrades are not available.

8. Intellectual Property

8.1 Our Property

The Service, including its design, code, features, trademarks, and content created by ClearMatch ATS, is owned by Tech Simply Solutions LLC and protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written consent.

8.2 Your Content

You retain ownership of the content you upload (resumes, job postings, etc.). By uploading content, you grant ClearMatch a limited, non-exclusive license to process, store, and display that content solely for the purpose of providing the Service to you.

9. AI & Automated Processing Disclaimer

ClearMatch ATS uses artificial intelligence (Google Gemini) to parse resumes and score applicants. While we strive for accuracy, AI-generated results may contain errors or biases. Specifically:

AI scores are not a guarantee of candidate quality or suitability
Results should be used as one factor among many in hiring decisions
ClearMatch is not responsible for hiring decisions made based on AI-generated scores
We do not guarantee that AI parsing will perfectly extract all information from every resume format

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECH SIMPLY SOLUTIONS LLC (D/B/A CLEARMATCH ATS) AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

OUR TOTAL CUMULATIVE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO TECH SIMPLY SOLUTIONS LLC IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any defects will be corrected.

12. Indemnification

You agree to indemnify, defend, and hold harmless Tech Simply Solutions LLC (d/b/a ClearMatch ATS) and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Service
Your violation of these Terms
Your violation of any applicable law or third-party rights
Content you upload to the Service

13. Termination

You may close your account at any time by contacting support@clearmatchats.com. We may suspend or terminate your access to the Service at any time, with or without cause, with or without notice.

Upon termination, your right to use the Service ceases immediately. Data associated with your account may be deleted in accordance with our Privacy Policy.

14. Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Utah, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or the Service shall be resolved in the state or federal courts located in Salt Lake County, Utah.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on this page and updating the “Last updated” date. Your continued use of the Service after changes are posted constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Tech Simply Solutions LLC regarding your use of the Service and supersede any prior agreements.
